Undertook extensive research to understand precedent models for executive remuneration schemes;
Designed executive remuneration scheme based on the client’s objectives and constraints, giving due consideration to relevant tax and accounting treatment;
Prepared a detailed financial model to illustrate the impact of the proposed remuneration scheme on shareholder value and scheme participants under various scenarios; and
Prepared a presentation for the remuneration committee based on the work performed.

Client: Edgars Consolidated Stores Limited (“Edcon”) (JSE top 40 co. prior to Bain buy-out; largest retailer in RSA)
Adviser to Edcon on the acquisition of the Discom Division from New Clicks Limited
Undertook a commercial and financial review of Discom based on discussions with management and an in-depth analysis of the information provided by the seller in the information memorandum;
Undertook a valuation of the business of Discom to obtain a valuation range against which to consider a reasonable purchase price for the business;
Constructed an investment model, based on Edcon operating metrics and certain operating assumptions arrived at in conjunction with Edcon executives;
Prepared a transaction report for the Edcon investment committee based on the findings of the work performed, which included advice on the potential financial effects of the transaction on Edcon;
Assisted in the formulation of suitable terms and transaction structure for the acquisition of Discom;
Assisted in the drafting of an indicative offer letter for Discom in terms of the formal sales process, as well as subsequent offer letters;
Project management and co-ordination of the due diligence investigation and responsible for the financial component of the due diligence investigation;
Assistance in the negotiation of the major terms and conditions of the transaction;

Adviser to Hannover Re on the firm’s Financial Sector Charter obligations in terms of prevailing Black Economic Empowerment (BEE) legislation in RSA
Undertook a detailed review of the Financial Sector Charter to evaluate the level of its applicability to Hannover Re;
Developed a framework for the measurement and evaluation of the Company’s BEE initiatives and status, incorporating the requirements and scorecard of the Financial Sector Charter; and
Based on the abovementioned work performed, prepared a comprehensive report presenting the findings as to the Company’s BEE status based on the Financial Sector Charter Scorecard.

Undertook a valuation of the business of Medscheme;
Assisted in the formulation of suitable terms and transaction structure for the acquisition of Medscheme;
Assisted in the drafting of an offer letter for Medscheme;
Assisted in the negotiation of the major terms and conditions of the transaction;
Provided high-level input into and comment on the Sale of Business agreement required for the implementation of thetransaction; and

Client: Professional Provident Society of South Africa (“PPS”)
Adviser to PPS on the implementation of a BEE transaction
Obtained an understanding of the unique issues associated with the transaction arising from the unique mutual structure of PPS, through detailed review of the rules and regulations governing PPS;
Based on the above, constructed a detailed financial model containing several scenarios which assisted in determining the optimal split of profits between shareholders and policyholders, and thereby determine the economic interest to be attributed to shareholders, to facilitate the implementation of the BEE transaction; and
In conjunction with Deloitte & Touche Actuaries, assisted in the formulation of a transaction structure in order to effect the BEE transaction on the basis of certain key principles identified by PPS.

Adviser on the introduction of a broad based BEE consortium as 25.1% shareholders in Meditech SA
